Raising capital isn't just about getting a "yes."

It's about understanding what you're agreeing to.

Term sheets and cap tables influence:
• Ownership and dilution over time
• Control
• Future fundraising
• Investor rights

Two deals can look nearly identical on the surface and lead to very different outcomes over time. While you should definitely work with a lawyer on your deal, don’t just rely on your attorney to deal with the term sheet. This is too important to leave to someone else.

The details matter.

When you're building a startup, it's tempting to base your valuation on:

• How much work and capital you've put in
• How much funding you need
• What a similar company raised
• What "feels right"
• What your uncle Bob, or his real-estate attorney say.

Some founders even say “valuation doesn’t matter, since we’ll be a unicorn”! But if it’s going to be a unicorn, doesn’t valuation matter more than ever?

The problem? Investors rarely look at valuation the same way founders do.

They may evaluate:
📈 Market opportunity
🚀 Growth potential
👥 Team strength
💰 Revenue and traction

Exit Strategy, time to exit, likely acquisition targets and transactional comps.
