Securities and Exchange Commission - SEC Zambia The Securities and Exchange Commission is the Regulator of the Capital Markets in Zambia.

The SEC was established through an Act of Parliament, the Securities Act of 1993 and falls under the jurisdiction of the Ministry of Finance and National Planning. The SEC is responsible for the supervision and development of the Zambian Capital Markets, as well as licensing, registration and authorization for financial intermediaries, issuers of debt and equity instruments and collective investment schemes.

The Securities and Exchange Commission (the โ€œCommissionโ€) has published the Real Estate Investment Trust (Amendment) Guidelines, 2026, which introduce targeted amendments to the Real Estate Investment Trust Guidelines, 2020.

A key highlight of the amendments is the express inclusion of solar and renewable energy infrastructure within the scope of eligible REIT investments. The definition of โ€œReal Estateโ€ has been expanded to include solar infrastructure used for the generation, storage or distribution of energy. In addition, income derived from the sale of electricity under power purchase agreements may qualify as permissible REIT income.

The amendments also provide for revised investment limits applicable to REITs investing in renewable energy infrastructure, updated borrowing provisions, revised income-distribution requirements, and a framework for REITs to be established through public-private partnerships.

These reforms are intended to deepen Zambiaโ€™s capital markets by broadening the range of assets that may be financed through REITs and by supporting innovative financing options for solar and other renewable energy projects.

The Real Estate Investment Trust (Amendment) Guidelines, 2026 are published under Gazette Notice No. 1417 of 2026 and are available on the Commissionโ€™s website and from Government Printers.

Today, the Securities and Exchange Commission โ€“ Zambia (SEC) hosted a successful validation workshop for the revised Green Bond Guidelines.

The revised Guidelines are being aligned with the Zambia Green Finance Taxonomy (ZGFT), launched in December last year, supporting efforts to strengthen Zambiaโ€™s sustainable finance ecosystem.

The workshop brought together key stakeholders, including financial regulators such as the Bank of Zambia and Pensions and Insurance Authority (PIA), capital market operators and supporting partners.

SEC Zambia appreciates all stakeholders who participated and contributed to the validation process. Collaboration remains essential in advancing sustainable finance and building a greener, more resilient capital market for Zambia.
