Attention!

On Friday, September 27th, an off-site Employee Recognition event is planned for all employees of the Delaware Division of Corporations. Division personnel will not be available after 11:30 A.M. on this date. As a result, the following changes to priority services for filing submissions will be in effect:

• No Same Day priority service.
• 30-minute and one-hour priorities must be submitted by 10:00 A.M.
• All two-hour priorities must be received by 9:00 A.M.
• All 24-hour priorities must be received by the state by 12:00 P.M.

Although the Delaware Secretary of State employees will be offsite, UCS will still be able to perform the following services:

• Obtain Good Standing Certificates/Certified Copies/Status checks
• File annual reports and pay franchise taxes
• Obtain Apostilles
• Conduct UCC searches
• File UCC1 and UCC3 electronically
• Submit filings up until 10:29 P.M.

Please keep in mind that there is also the option of submitting documents using September 27th as the future effective date and receiving the evidence of filing before Friday.

Expect delays for receiving evidence of filing when the state reopens on Monday, September 30th.

Also note that in preparation for the event, on Thursday, September 26th, the night shift for the Delaware Secretary of State plans to adjust their hours from 4:00 P.M. to 12:00 A.M. to 2:00 PM to 10:00 PM. Filings submitted after 10:00 PM on this date will possibly not be reviewed until the following day or the following week.

If you would like to upgrade your submission to a faster priority on Monday, September 30th please speak with your Client Service Representative about cutoff times and expedite fees.

NY Senate Bill 8059 was signed on 3/1/2024 to amend the limited liability company beneficial owner disclosure requirements recently enacted by Senate Bill 995 (2023). The new law expands the reporting requirements to include reporting of applicants and other requirements.

Rhode Island businesses, don't forget to file your annual reports before May 1, 2024, to avoid late filing penalties and possible revocation proceedings. This applies to all LLCs, Corporations, Partnerships, and Non-Profits registered with the RI Department of State prior to January 1, 2024.

On March 11th, the Justice Department filed a Notice of Appeal in response to the declaratory judgment issued by the federal district court in the Northern District of Alabama, Northeastern Division on March 1st. The judgment concluded that the Corporate Transparency Act (CTA) exceeds the Constitution’s limits on Congress’s power. However, FinCEN will continue to implement the CTA as required by Congress while complying with the court’s order.

Important New Ruling Regarding the Corporate Transparency Act:

On March 1, 2024, a U.S. District Judge in Alabama issued a judgment declaring that the Corporate Transparency Act (CTA) is unconstitutional because it exceeds the Constitution’s limits on Congress’ power. Further, FinCEN is permanently enjoined from enforcing the CTA against the plaintiffs (National Small Business Association “NSBA”) in that case.

It should be noted that the ruling does not apply to business owners who are not affiliated with the NSBA. The Treasury department retains the freedom to carry on with the implementation of the CTA and enforce it against other parties at this time.

It is expected that the Treasury department will file an appeal against the ruling. As previously stated, the court’s order specifically prohibits enforcement against the NSBA plaintiffs only.

Utah: Senate Bill 43 was pre-filed on 12/28/2023 to amend the state’s version of UCC § 9-513. The amendment will add a new section that requires a filing office to send a notice to the secured party of record if the debtor files a termination statement.
