The Million Dollar Question:

Who comes out on top of a merger: Tesla or SpaceX?

Here are the hurdles.

SpaceX is a major US government and military contractor.

Tesla has massive operations in China. That combination could draw serious regulatory scrutiny around national security.

And the valuation negotiation is going to be messy.

SPCX shareholders and Tesla shareholders both think their company is worth more. Agreeing on the ratio of ownership in the combined entity is the hardest part of any merger negotiation.

Fortune wrote this week that SpaceX may have already missed its window to buy Tesla — because when SPCX was at $225 the math worked perfectly. Now that SPCX is lower the deal gets more complicated for SpaceX shareholders.

So here is where I land.

The merger is not confirmed.

But it is not NOT happening either.

Wedbush Securities — Dan Ives — says he expects the two companies to eventually merge. Chamath Palihapitiya says SpaceX will reverse merge into Tesla and Elon will use it to consolidate control of both into one cap table.

Every single week there is more evidence that these two companies are becoming one.

Terafab. Cursor. Grok in Tesla cars. Starlink in Cybercabs. $650 million in cross-company purchases.

The question is not IF.

The question is WHEN. And at what price.

Y’all. Let’s talk about the merger.

Not a rumor. Not speculation.

Elon Musk was asked directly on the Tesla earnings call last month whether Tesla and SpaceX would merge.

And here is what he said.

“There is more and more overlap between the two companies. But we cannot talk about combining companies on an earnings call. It has to be done with the appropriate process.”

He did not say no.

He said there is a process.

That is the closest Elon has ever come to confirming this is actually happening.

So let me break down what a merger would actually mean.

In plain English. For both sides.

If you own SPCX — here is what you need to know.

Right now SpaceX is growing fast but spending massively.

Eighteen billion dollars in one quarter on AI infrastructure alone.

Tesla has manufacturing. Tesla has supply chain. Tesla has retail customers. Tesla has cash flow from car sales.

A merger gives SpaceX access to all of that.

It also gives SpaceX shareholders exposure to Tesla’s robotaxi business, Optimus robots, and Full Self Driving.

Suddenly your SPCX shares are not just a rocket and satellite company.

They are a robot company. An AI company. An autonomous vehicle company. A battery company.

The combined entity would be worth somewhere around three trillion dollars.

That would make it one of the largest companies on earth.

If you own Tesla — here is what you need to know.

Tesla shareholders get access to Starlink. To SpaceX launch contracts. To Grok AI. To Cursor — the AI coding platform SpaceX just acquired for $60 billion.

And here is the one that really matters.

Sherwood News — Robinhood’s financial media outlet — published an analysis this week that said Tesla and SpaceX have already merged in everything but name.

Tesla invested $2 billion in xAI. SpaceX absorbed xAI. Tesla converted its xAI shares into SpaceX stock.

Tesla mentioned SpaceX 87 times in its most recent SEC filing. 

SpaceX and Tesla entities already bought $650 million worth of goods and services from each other last year.

The paperwork just has not caught up yet.

Y’all. Why would the most powerful chip company on earth invest $21 billion in SpaceX stock?

Think about that for a second.

NVIDIA makes the chips that power almost every AI system on the planet. They do not need to invest in anyone. Money flows TO them.

And yet Jensen Huang — the CEO of NVIDIA — just put $21 billion into SPCX.

Here is why.

Elon has already locked up roughly 80% of NVIDIA’s best new chip output for SpaceX and xAI.

That means there is only about 20% left for everyone else on earth. Every other AI company. Every other tech giant. Fighting over 20%.

NVIDIA does not want to just supply the Musk empire.

They want to be inside it.

My Musk universe source said it perfectly — Jensen Huang wants to be one of the ingredients in the Kool Aid. Not just the supplier. An ingredient.

Y’all. Two days ago SpaceX quietly closed the largest acquisition of a startup in history.

Sixty billion dollars.

The company is called Cursor. You have probably never heard of it.

But if you use Claude or ChatGPT to write code — Cursor is their biggest competitor.

And now it belongs to Elon.

Here is why this matters.

Cursor runs on AI models. Right now it uses Claude — that is Anthropic — and ChatGPT. SpaceX has every reason to replace both of those with Grok. Their own AI. Their own model. Their own revenue.

Elon just bought the front door to AI coding. And he is about to replace the furniture inside.

The empire keeps growing y’all. 🚀

Y’all. I need to tell you what happened to me on the highway.

I was on Full Self Driving. And I dropped an earring.

Any woman knows — you look down for that earring. It is a reflex. Less than one second.

I looked down. I looked back up.
And there it was.

A massive piece of truck tire sitting in the middle of the highway. Almost as tall as my hood. Right in front of my car. Like a big ole moose that came out of nowhere.

There was zero time for me to react. Zero.

If I had been driving — hands on that wheel — I would have hit that thing head on at highway speed. That piece of tire could have come through my windshield. I may not have died. But I would have had a very very very bad day.

Instead my Tesla was already moving. Smooth. Calm. Around it. Like it was nothing.

While I sat there with my mouth wide open thinking holy s**t.

I have people who hate on my Tesla commentary all the time. That is fine. I get it.

But I LIVED this. That car made a decision faster than my brain could even register the danger.

They call it Full Self Driving.

After yesterday I think they should call it Full Safe Driving.

I am really glad my Tesla was paying attention when I wasn’t. ❤️🚀

SpaceX is surrounded by bulls... LFG!

Y'all. I have some good news for anyone holding SPCX.

This morning SpaceX is trading at $135. Back above its IPO price for the first time since July 15th.

Eight days ago this stock hit an all time low of $104. This morning it is at $135. Closed around $132.

That is a 28% bounce in eight days.

Here is what drove it.

Remember last Tuesday when everybody freaked out about earnings? Revenue beat by nearly a billion dollars. Loss was way smaller than expected. Starlink up 66%. AI segment up 250%.

Wall Street initially dropped it on spending concerns. Then the analysts came back.

Citi — buy. Price target $200. Argus upgraded from Hold to Buy. Deutsche Bank — buy. And Kevin O'Leary from Shark Tank — who sat out the IPO entirely — said $100 to $110 was the sweet spot to buy. Which is EXACTLY where it bottomed.

Now Tesla. Up 5% this morning. Why? SpaceX just locked in a $16.8 billion AI deal and retail investors poured $372 million into Tesla on the back of that news.

The empire effect is alive and well. SpaceX makes a big deal — Tesla goes up. The story of two Teslas playing out in real time again.

And Direxion just launched a brand new 2X inverse SpaceX ETF called LOFD. When Wall Street creates leveraged products around a stock — that is validation it is not going away.

From $104 to $135 in eight days. Back above IPO price. Analysts upgrading. Tesla bouncing on SpaceX news.

Uncle Elon got bi$cH slapped by Wall Street yesterday ... beat all the numbers but spending too much... dang.

SpaceX reported earnings Tuesday night. And it is the most Wall Street thing I have ever seen.

They beat on revenue. Beat on earnings. Beat on almost every number.

And the stock dropped anyway.

Here is why — and this is the trading lesson nobody is talking about.

That 9.4% run up on Tuesday BEFORE earnings dropped? That was the market pricing in the good news before it happened. When the actual report came out and confirmed what everyone expected — there was nobody left to buy. The people who bought at $104 called it right. They sold into the good news and got out.

Buy the rumor. Sell the news.

We called this exact pattern back on July 7th when SPCX joined the Nasdaq 100. It played out then. It played out again Tuesday night. Same pattern. Different catalyst.

Now the actual numbers — revenue $7.81 billion vs $6.93 billion expected. Up 92% from a year ago. Loss per share only 9 cents vs 26 cents expected. Starlink up 66%. AI segment up 250%.

So why did it REALLY drop?

Capital expenditures. SpaceX spent $18.37 billion in ONE quarter on AI infrastructure. Nearly as much as they spent in ALL of 2025.

And then Elon got on the call and said — I am not making this up — "Our projections for reaching a trillion dollars in revenue have moved up from 2031 to 2030. And there is a non-zero chance of that being 2029."

The analysts were quiet for a second. 😂

Yesterday — August 6th — 911 million new shares became eligible to sell. Nearly doubling the available supply overnight.

One analyst said it best — "The negative reaction is less a rejection of the fundamentals than a reflection of the enormous price of growth."

That is the whole story. The fundamentals are good. The price of building them is enormous.

You either believe the payoff is worth it — or you don't.
