New Update on Corporate Transparency Act:

Following the 5th Circuit's decision to lift the nationwide injunction against the CTA, FinCEN has extended the compliance deadlines for reporting beneficial ownership information (BOI).

Existing Businesses (formed before 2024): The deadline to file initial BOI reports has been extended to January 13, 2025.

New Businesses (formed in 2024): These entities are required to file their BOI reports within 90 days of their formation date.

This extension provides additional time for businesses to comply with the CTA's requirements. However, it's advisable to prepare and submit the necessary information promptly to avoid any potential penalties.

Corporate Transparency Act Update:

On December 3, a federal court in Texas issued a nationwide injunction in the case of Texas Top Cop Shop, Inc. v Garland that stops enforcement of the Corporate Transparency Act (CTA). The injunction temporarily halts the requirement for new businesses to report their beneficial ownership information (BOI), and the January 1, 2025, deadline for companies formed before 2024 is on hold.

We will be watching this case closely and encourage anyone potentially subject to CTA requirements to do the same. Stay informed and be ready to act if reporting requirements return. If you’re not sure how this impacts your business, reach out to your attorney or financial advisor.
