Closed another practice sale this week! 🙌 🦷 🙂

I definitely embrace the process, but there’s nothing like the feeling of closing day for everyone involved. I truly enjoy helping my clients get to their end goal, as if it were my own, and I believe that’s why I typically have raving reviews once it is all said and done. They’re a little nervous signing up with a one man brokerage at the beginning, but then will tell any potential client I’m talking to it was the best decision they made instead of just being another number at a large firm without a personalized experience.

The other brokerage firms can say what they want about me, which they do and I hear about it as it is such a niche market, but I just stay focused on doing solid work and getting results for my clients. Plus the more they talk, the more I know they are worried about my skillset.

Send it! 🏂 The LOI… 📄

Just like getting on the chairlift, sending a letter of intent (LOI), is a crucial step in buying a dental practice. It signals serious intent (obviously), outlines key terms of the offer, and sets the stage for due diligence… without locking you in.

A solid LOI helps both buyers and sellers get aligned before diving into the details of the actual transaction. Sellers will definitely want their broker to review any LOIs received as there isn’t a standard document in the industry, and buyers should beware of some brokers making the LOI for you. It is a little odd for someone to not represent you as the buyer, then insist you sign their specific LOI created. Spoiler alert, it’s usually highly advantageous to their seller client and they make you feel like you’re getting a good deal because they left the offered price line blank.

The disclaimer though is not all seller brokers are like that and I’ve worked with plenty who have solid LOIs, but there are definitely some out there that don’t play fair so just be careful.

🎨 Practice Valuations: More Art Than Science 🖌️

The real secret is brokers all have a general idea of what a bank will lend up to on a certain practice which is why I tell clients that brokers don’t set values, banks do. The space is so competitive though with new banks entering or trying to gain market share, that a lot of them will lend more than what it is really worth just to get the deal… and again yeah we know that as brokers when the picture is being painted for everyone. Obviously cash flow and overhead benchmarks are important, but there’s a lot more to buying a practice than numbers on a spreadsheet.

Most deals in the dental space are main street level, so this would hold true for many of the practices you look at. But for anyone who is like what about mid-market deals bro?! Then yeah… those are more science driven but not very common for the solo dentist who wants to be a business owner.

So if you’re in the middle of a dental transition, remember that the numbers are important but the narrative is where the magic happens. If you need help with an analysis of a practice, that is part of my process with clients to educate them on what’s actually going on with a practice and why it’s being presented in certain ways. There’s a reason my buyer clients pass on one or two practices before finding the right one, it’s because I bring something to their attention that nobody else in the deal is going to.
