The problem with this analysis is that it isn't wholly true. By his daughter being young, she needs a guardian. In this case it's the natural parent/surviving spouse. So the Mother DOES have it all...EXCEPT...she does not have an unlimited marital exemption.

He did a bypass to the estate of his daughter. There is a $13.99Million single exemption of estate tax. I am unsure of the State tax assessment.

His estate will have to pay tax on whatever is above the $13.99Million.

So she will see and oversee all the money left after taxes that did not go to trust or other causes.

His estate tax planner may have advised him differently but the settlement here was and is ridiculous and gives much more in taxation than necessary.

He would have been better advised to establish and fund a ILT or Inter-vivos Trust, which would avoid all estate taxation, and distribute assets from it, or establish a funded $5Million trust for his friend using an ILIT which has all kinds of advantages for the beneficiary.

This was NOT a good estate arrangement. But she is in no way destitute having control over all assets for the benefit of their daughter.
