OPERATING AGREEMENT – The rulebook behind your LLC

🔍 What is an Operating Agreement?

An Operating Agreement is a document that establishes how a Limited Liability Company—or LLC—is owned, managed, and operated.

It may include important information such as:

✅ The LLC’s members and their ownership percentages
✅ Whether the company is member-managed or manager-managed
✅ Who has authority to make decisions and sign documents
✅ Voting and approval requirements
✅ How profits and losses are allocated
✅ Procedures for adding or removing members
✅ Rules for certain major business transactions

🏡 Why can it matter during the mortgage process?

When an LLC is purchasing or refinancing a property, the lender may review its Operating Agreement to verify the company’s ownership and determine who has authority to act on behalf of the LLC.
This can help confirm:

✔ Who is authorized to sign the loan documents
✔ Whether the LLC is permitted to borrow money
✔ Whether additional member approval may be required
✔ Whether the proposed transaction is consistent with the company’s governing documents

📋 Is the Operating Agreement the only LLC document requested?

🔐 You hear the word “escrow” throughout a real estate transaction — but what exactly does it mean?

At its core, escrow is a protection mechanism.

During a purchase transaction, a neutral third party — often an escrow or title company, depending on the state and transaction — can hold funds and documents while the conditions of the contract are being completed.

Think about the Earnest Money Deposit (EMD), for example. Instead of simply sending that money directly to the seller, it is typically deposited into an escrow account and held according to the terms of the purchase contract.

Why is that so important?

Because escrow helps protect both sides of the transaction. 🔐

The funds are not simply released because one party asks for them. They are handled according to the contract, applicable instructions, and closing requirements.

Escrow can help ensure that:

✓ Funds are securely held during the transaction
✓ Contract requirements are satisfied before funds are disbursed
✓ Money and documents are transferred at the appropriate stage of closing
✓ Buyers and sellers have a neutral party helping facilitate the transaction

🏡 And there’s another “escrow” you may hear about after closing.

Some mortgage payments include an escrow account for property taxes and homeowners insurance. The lender collects a portion with your monthly payment and uses those funds to pay eligible tax and insurance bills when they become due.

Same word — different role.

Whether we’re talking about funds held during the purchase or an escrow account associated with your mortgage, the idea is similar: creating structure, accountability, and protection around important financial obligations.

Truth: Signing the contract before knowing your financing works can turn excitement into pressure very quickly. 🏡⏳

We see it all the time:
A buyer finds a property they love, pays the deposit, signs the contract… and then sends the documents for pre-approval.

The problem?

By that point, the clock is already running.

There are deadlines to meet, deposits at risk, financing contingencies to respect, and suddenly the documentation starts revealing challenges that no one anticipated.

Maybe the income doesn’t qualify the way the buyer expected.
Maybe additional documents are needed.
Maybe the loan program they had in mind isn’t actually the best fit.
Maybe the numbers simply don’t work yet.

And now, instead of calmly building the right financing strategy, everyone is racing against a contract.

Mortgage rates moved in different directions this Tuesday, with the 30-year fixed rate ticking higher while the 15-year fixed rate saw a slight decline.

🏡 30-Year Fixed: 6.68% APR ⬆️ 12 bps from yesterday
🏡 15-Year Fixed: 5.93% APR ⬇️ 5 bps
🏡 5-Year ARM: 6.46% APR ➖ holding steady

Looking at the bigger picture, the average 30-year fixed rate is now 4 basis points higher than one week ago and 18 basis points higher than one year ago.

And remember: 1 basis point = 0.01%.

Rates change constantly — and the best strategy isn’t necessarily waiting for the “perfect” rate. It’s understanding your options, your numbers, and choosing the right financing structure for your goals.
