Q: How Are Business Purchases Financed?

A: One of the most common questions we hear from buyers is: “How do I actually pay for a business?”

The answer usually comes down to two options: third-party financing or seller financing — and the right structure depends on the size and type of business.

For smaller businesses (typically under $200K–$300K), seller financing is often required since many banks won’t lend on micro-sized deals. In these cases, buyers usually need to bring a significant down payment (often around 50%) and demonstrate strong credit and relevant experience.

For larger transactions, financing is typically handled through a bank using SBA (Small Business Administration) loans. The SBA guarantees a portion of the loan, reducing lender risk and making acquisitions more accessible for buyers.

Historically, SBA deals have required around 20% down, with terms up to 10 years, making it a more flexible option compared to seller financing, which is usually shorter term (often up to 5 years).

Recently, SBA programs have also introduced enhanced incentives, including reduced down payment requirements and fee relief in certain periods — making business ownership more accessible than ever.

A generational shift is creating new opportunities for both buyers and sellers.

According to U.S. Census Bureau data, more than half of U.S. employer businesses are owned by individuals age 55 and older. As more owners approach retirement, succession planning and business sales are becoming increasingly important conversations.

Whether you're thinking about selling in 1 year or 10, preparation today can help maximize value tomorrow.

💼 Stock Sale vs. Asset Sale: What Owners Should Know

Thinking about selling your business? Structure matters.

A stock sale can mean:
• Lower taxes (often capital gains treatment)
• Simpler transfer of the entire business
• Stronger continuity for employees, contracts, and goodwill
• Fewer asset-by-asset negotiations

But there are tradeoffs:
• Fewer buyers due to liability concerns
• Potentially lower offers (tax benefits for buyers are reduced)
• Financing can be harder (especially SBA deals)
• Requires full owner agreement

📊 Bottom line:
Stock sales can maximize seller proceeds, but buyers often push back on structure.

At George & Company Business Brokers, we help owners evaluate both options early so they can negotiate smarter.

A successful business sale is about more than just the highest offer — it’s about finding the right fit.

Advisor Douglas Pendleton of George & Company recently guided the sale of a thriving Aerospace MRO facility through a highly complex transaction:

- $3.8M in Sales
- $1.7M EBITDA
- 100+ Buyer Inquiries
- 18 Offers Received
- Sold for $7.1M

With FAA certification requirements, extensive due diligence, and a 9-month legal process, selecting the right buyer was critical. Instead of simply choosing the highest bid, the sellers — with guidance from George & Company — selected an owner/operator with engineering expertise who they believed would continue the company’s legacy and support its employees.

The result? A successful close built on trust, patience, and strategic guidance.

Key takeaways from this transaction:
✔️ The highest offer isn’t always the best offer
✔️ Choosing the right buyer matters
✔️ Experienced advisors help keep deals on track through complex negotiations

George & Company was proud to help bring this transaction to a successful close for their clients.

According to BizBuySell, the business sales market is active — but buyers are more selective than ever.

Stronger lending standards and increased due diligence mean buyers are asking tougher questions and looking closely at financial performance before making offers.

For sellers, that makes preparation critical: organized financials, realistic valuation, and a clear growth story can help maximize results.

At George & Company, we help owners prepare for successful exits.
