On a $10M QSBS gain in California: potentially $0 in federal tax. Up to $1.33M in California state tax.

Section 1202 can help eliminate the federal tax bill for eligible stock, but California doesn't conform and taxes the gain as ordinary income at rates up to 13.3%. Even the OBBBA's expanded federal exclusion changes nothing at the state level.

On a $5M QSBS gain, three years of holding used to mean $0 excluded. Under the new rules, 50% is now excluded, cutting federal tax to about $795K instead of taxing the full gain.

The One Big Beautiful Bill Act rewrote QSBS in July 2025: partial exclusions at 3 and 4 years, a $15M cap (up from $10M), and a $75M asset threshold (up from $50M) for post-enactment stock.
