SEC Announces Form Types that are No Longer Accepted

As of May 10, 2021, the SEC no longer accepts the following form types via EDGAR due to the Commission’s rescission of Forms N-Q and N-SAR:
N-Q (and amendments)
NSAR-A (and amendments)
NSAR-AT (and amendments)
NSAR-B (and amendments)
NSAR-BT (and amendments)
NSAR-U (and amendments)
NT-NSAR (and amendments)

The SEC will be closed on Thursday, December 24th and Friday, December 25th for the Christmas holiday and therefore will not receive, process or accept filings through EDGAR on either of these days.

Filings with a due date of December 24th or December 25th will be due on Monday, December 28th.

On December 14, 2020, EDGAR Release 20.4 was released by the Securities & Exchange Commission (“SEC”). This release includes a new ICFR check box on the cover page of Forms 10-K, 20-F and 40-F as well as acceptance of electronic notarizations and remote online notarizations, which include electronic signatures, in connection with the Form ID application.

The SEC’s hours of operations for submitting filings are Monday through Friday, 6:00 AM – 10:00 PM ET, excluding SEC holidays.

Filings submitted after 5:30 PM ET will receive the next business day’s filing date.

Section 16 filings can be submitted up until 10:00 PM ET to receive the same filing date.

If a filing due date falls on a weekend or a federal holiday, the filing is due on the following business day.
