CASE STUDY WEDNESDAY
A recent buyer contacted us after already being deep into an acquisition.
The seller had professional representation.
The buyer did not.
Like many buyers, they were trying to:
• Negotiate purchase terms
• Analyze financials
• Complete due diligence
• Secure SBA financing
• Coordinate attorneys and closing requirements
All while continuing to run their existing business.
After reviewing the tax returns, financial statements, and agency KPI reports, our team identified that the seller's earnings were not being presented in a way that accurately reflected the true cash flow of the business.
We rebuilt the EBITDA/SDE analysis from the ground up and provided lenders with a clearer picture of the agency's ability to support debt service.
That alone saved the buyer thousands of dollars.
But the story didn't stop there.
Through our network, the buyer was introduced to an attorney who has worked on more than 400 M&A transactions. During legal review, additional issues were uncovered that could have become significant problems after closing.
Those findings allowed the buyer to address concerns before taking ownership instead of fighting costly battles afterward.
The Lesson?
Most buyers think they're hiring a firm to help purchase a business.
In reality, they're hiring a guide.
Someone who can:
✅ Interpret financials
✅ Challenge assumptions
✅ Coordinate lenders
✅ Build the right professional team
✅ Protect them from avoidable mistakes
At Bold Line Partners, our job doesn't end at closing.
We're there before the LOI, through due diligence, at the closing table, and after the deal is done.
Because successful acquisitions aren't built on hope.
They're built on guidance, expertise, and the right people in your corner.
