And that’s where deals fall apart.

I recently spoke with an owner doing just over $1.2M in revenue. Solid business. Profitable. But when we broke down the numbers, their expected valuation didn’t match their actual SDE.

The gap? Over $300K.

Not because the business wasn’t good—but because:

Expenses weren’t properly adjusted
Add-backs weren’t documented
The business was too owner-dependent
