Southern National Corp. and The Samson Banking Company Announce Merger Agreement
ANDALUSIA, ALABAMA – August 25, 2026 – Southern National Corp. ("SNC"), the parent company of CCB Community Bank (“CCB”), and The Samson Banking Company ("Samson"), jointly announced today the signing of a definitive agreement under which Samson will merge with and into CCB. Financial terms of the transaction were not disclosed.
The merger unites two of Alabama's strongest-performing community banks. On a pro forma basis as of June 30, 2026, the combined bank would have approximately $786 million in total assets, $699 million in total deposits, and $551 million in gross loans. The combination extends CCB's footprint across South Alabama, pairing nearly century-old customer relationships with CCB's broader lending capacity, product set, and technology.

The combined company will operate seven branches serving communities across South Alabama and Northwest Florida. The merger agreement has been unanimously approved by the respective Boards of Directors of SNC and Samson. Completion of the merger is subject to customary closing conditions, including receipt of required regulatory approvals and approval by the shareholders of Samson. The transaction is expected to close in the first quarter of 2027.
Performance Trust Capital Partners served as the exclusive financial advisor to CCB. Jones Walker served as legal counsel to CCB in connection with the transaction, and Johnston Hinesley PC served as legal counsel to Samson.
