Southern National Corp. and The Samson Banking Company Announce Merger Agreement

ANDALUSIA, ALABAMA – August 25, 2026 – Southern National Corp. ("SNC"), the parent company of CCB Community Bank (“CCB”), and The Samson Banking Company ("Samson"), jointly announced today the signing of a definitive agreement under which Samson will merge with and into CCB. Financial terms of the transaction were not disclosed.

The merger unites two of Alabama's strongest-performing community banks. On a pro forma basis as of June 30, 2026, the combined bank would have approximately $786 million in total assets, $699 million in total deposits, and $551 million in gross loans. The combination extends CCB's footprint across South Alabama, pairing nearly century-old customer relationships with CCB's broader lending capacity, product set, and technology.

“With an established presence in Covington, Walton, and Okaloosa counties, CCB is proud to expand its footprint into Geneva County, allowing us to better serve our customers and the communities we are a part of” said Michael Andrews, CEO of CCB.

The combined company will operate seven branches serving communities across South Alabama and Northwest Florida. As a community focused bank, CCB is committed to being a strong contributor and partner in the communities it serves and is excited about the opportunity to build new relationships and continue making a positive impact throughout the region.

The merger agreement has been unanimously approved by the respective Boards of Directors of SNC and Samson. Completion of the merger is subject to customary closing conditions, including receipt of required regulatory approvals and approval by the shareholders of Samson. The transaction is expected to close in the first quarter of 2027.

Performance Trust Capital Partners served as the exclusive financial advisor to CCB. Jones Walker served as legal counsel to CCB in connection with the transaction, and Johnston Hinesley PC served as legal counsel to Samson.

This month CCB Community Bank is proud to highlight Barbara Gantt, Loan Receptionist at our Andalusia branch, as she celebrates 45 years with us!

Over the years, Barbara has worked in most departments across the bank, gaining a wealth of knowledge and experience. Today, as Loan Receptionist, Barbara answers phone calls and directs callers to the appropriate person or department, processes loan and house payments, delivers mail and packages internally, assists customers, and takes care of various other duties that arise throughout the day.

From joining CCB with a lifelong desire to work in banking to serving in various roles throughout the bank, Barbara has spent 45 years building relationships with customers and co-workers alike. The people Barbara works with have become family, just as she has become a familiar and welcoming presence for so many who walk through CCB’s doors.
