Membership Development

ICGU is a membership based organization that draws its membership from diverse professions, businesses and institutional sectors with varying ideals and expectations. The membership currently comprises over 614 individuals and 80 corporate members. The strategy for membership development emphasizes adherence to best practice and offering value adding services to members of

the Institute. Training in Corporate Governance

ICGU has conducted over 115 workshops in customized and general trainings in Corporate Governance for the Board of Directors and Executive Managers of Public and Private Enterprises and Non-Governmental Organizations. The number of trained people since 2002 is over 2,500 from 155 organizations. This has added to the growth of a business community that takes responsibility for its stakeholders and the community at large. These courses will not only continue but will be enhanced and diversified. Technical Assistance

ICGU conducts specific technical assignments for big and small entities. Such assistance includes developing handbooks on corporate governance, codes of conduct and best practice, evaluation of board performance and developing board manuals among others. These assignments enhance performance of corporate boards and provide vital benchmarks for strengthening compliance. Publications

The Institute reaches its target audience through a quarterly publication of the Institute Journal, ‘Sustainable Wealth Creation,’ in which topical governance issues are discussed. The Journal also serves as a tool for membership cohesion and development, and is targeted at a broad but focused audience. Besides, the Institute developed and published Brochures and a Manual on corporate governance which contribute to information dissemination on corporate governance. Public Sensitization

ICGU has successfully conducted public awareness lectures for directors and senior executives of enterprises, business leaders and the general public on several themes in the realm of Corporate Governance. The Key goals in this area are to promote corporate governance principles and practice to attain broader endearment; and to improve ICGU’s image and visibility as the “flag-bearer” of corporate governance in Uganda.

"ICGU AT 25 YEARS: THE VANGUARD OF GOVERNANCE"

Twenty-five years ago, at the on set of privatisation a vision was cast—a vision for a Uganda anchored in the principles of accountability, transparency and integrity. Today, we don’t just celebrate a milestone; we celebrate the realisation and enduring power of that vision. We celebrate the Institute of Corporate Governance of Uganda (ICGU) at 25 years: The true Vanguard of Governance.

The term ‘vanguard’ is deliberate. It signifies more than just being the first. It speaks of leadership from the front, of charting a course through uncharted territory, and of setting the standard for others to follow.

Cast your minds back a quarter of a century. The conversation around corporate governance was nascent, a concept understood by few but vital for all. It was in that environment that the ICGU was born—not merely as an institution, but as a movement to archor Uganda’s private sector led economy. It was a bold declaration that for Uganda to achieve its full economic potential, how we conduct business had to be as important as the business we conduct.

As the vanguard, our journey has been one of principled conviction.

1. We were the pioneers who first championed the director’s role not just as a title, but as a duty of stewardship and ethical responsibility.

2. We were the front-runners in developing the standards and professional training that have cultivated a cadre of respected governance practitioners who are sought after, not just in Uganda, but across the region.

3. We have been the steadfast advocates in the halls of policy, making the case that good governance is not a luxury, but the very bedrock of investor confidence, economic stability, and sustainable national development.

The impact of this unwavering leadership is visible all around us. It is seen in the strengthened boards of our leading companies, NGOs and professional associations. It is reflected in the increased transparency within our public sector entities. And it is felt in the growing international confidence in Uganda as a place to invest and do business. We did not just introduce a new vocabulary; we helped build a new culture.

But the role of a vanguard is never static. The battles of yesterday are not the challenges of tomorrow. As we celebrate our legacy, we must also fix our gaze firmly on the future. The next frontier of governance is already upon us, defined by digital transformation, the urgent call for sustainability and ESG, and the complexities of an interconnected global economy.

Our pledge today, on our Silver Jubilee, is this: The ICGU will continue to be the vanguard. We will lead the conversation on governing Artificial Intelligence and managing cybersecurity risks. We will champion the integration of environmental and social principles into corporate strategy, ensuring that progress does not come at the planet’s expense. And we will redouble our efforts to mentor and empower the next generation of ethical leaders who will steer our nation for the next 25 years and beyond.

To our founding members, your foresight was extraordinary. To our partners in government and the private sector, your collaboration has been invaluable. To our members, you are the living embodiment of our mission. Thank you.

Today is a celebration of immense achievement. But it is also a moment of recommitment. A recommitment to the principles that have guided us, and a recommitment to our role as the ever-vigilant, ever-forward-looking vanguard of governance in Uganda.

Thank you for being part of this journey.

Today, Dison Bosco Okumu, CEO of The Institute of Corporate Governance of Uganda (ICGU) delivered a Corporate Governance Training to hundreds of business owners under the Business Rescue and Aftercare Program ( ) organized by the Uganda Registration Services Bureau URSB.
The CEO received a certificate of appreciation from Caroline Egesa, the Commissioner Registration Services- Insolvency and Receivership.

While CEO emphasized the step by step adherence and observance of Corporate Governance practices, Ms. Carol noted that Corporate Governance deficiencies is one of the biggest killers of Business in Uganda and the region.

ICGU TRAINS IVORY BANK OF SOUTH SUDAN

As part of capacity building across the region, ICGU held a 5 days Board training for Ivory Bank of South Sudan at Sheraton Kampala Hotel.

The training covered core modules of Corporate Governance i.e.

✅ESG practices & Reporting,
✅AI Governance
✅Risk Governance - Prediction, Management and Mitigation
✅Digital Transformation Management
✅Board Decision Making and Monitoring
✅ Stakeholder Engagement practices among others.

The Board also enjoyed a guided tour to other Commercial Banks in Uganda.

This afternoon the Institute of Corporate Governance of Uganda - ICGU has signed an MOU with the Directors Forum Kenya (DFK). On behalf the parties; Mr. Geoffrey Kihuguru, President ICGU and Mr. Meshack Joram, Executive Director DFK agreed collaborate on;

✅ Provision and promotion of quality Corporate Governance training in the region.

✅ Enhancing development of the Directorship profession.

✅ Capacity building through joint regional workshops, seminars and Conferences for Directors.

✅ Development of both institutions regionally and International.

✅ Documentation and popularisation of African Corporate Governance best practices.

✅ Recognition of Directors and organisations that observe and adhere to Corporate Governance best practices.

✅ Create and increase Corporate Governance practices in both the Private and Public Sectors in the region.
