The biggest difference is scale. From day one, the technological barriers, market size, capital requirements, and competitive landscape can be fundamentally different. An entrepreneur must constantly ask: “If this succeeds, how big can it become?”

Managing an established organization and building a company from scratch require two very different skill sets. Once you leave behind the brand, capital, talent, and systems you once had, can you build an entirely new set of resources from the ground up? That is the real test.

Not every great company is right for venture capital, and not every great business owner needs venture capital.

回報有上限的資金,分不到你把餅做大 的那一段,也就沒有理由把資源跟經驗投進來。

1. 錢買得到「流量」,買不到「留存」: 留不住人的產品,加速獲客只是加速流失。

2. 真正的差別,不是出多少錢,是願不願意下場: 同樣一筆錢,有人給完就走,有人給完才開始。前者是股東,後者是陪你打仗的軍師。

3. 選錢之前,先看清「站在錢後面的人」: 資金從不稀缺,能給你資源、經驗,並陪你把餅做大的 Partner 才稀缺。

融資從來不是最難的一關。難的是拿到錢之後,還有人能陪你把它花對。

The CVF (Customer Value Fund) is the most-talked-about structure in venture right now, and it makes non-dilutive capital easier to get than ever: if you can compute your CAC and your LTV, someone will fund it.

But the moment the money lands is when the real test begins: money has a formula. Resources don't.

▋ Why "Getting Money" Is Easier Than "Getting Resources"

▪ Money has a formula, so it can be priced: How fast does a cohort pay back? What's the average ticket? All of it is computable — and what's computable can be priced. That's exactly why funds like CVF exist.

▪ Resources have no formula, so they can't be structured: Key channels, senior talent, a warm intro to a major customer, an endorsement for your next round — none of it goes into the term sheet, and none of it shows up just because you raised tens of millions more.

▪ The cap decides the motivation to stay in the fight: Capital with a capped return gets none of the upside once you grow the pie — so it has no reason to put its resources and experience in.

▋ Three Things to Think Through Before You Choose the Money

1. Money buys traffic, not retention: If the product can't keep people, faster acquisition is just faster churn.

2. The real difference isn't how much they put in — it's whether they get in the fight: Same money. Some are done the moment they wire it; some only start the moment they wire it. The first is a shareholder. The second is the strategist who fights alongside you.

3. Before you pick the money, look hard at who's standing behind it: Capital is never the scarce thing. A partner who brings resources and experience, and helps you grow the pie, is.

Raising was never the hardest part. The hard part is having someone who helps you spend it right.

Markets have been highly volatile recently. Some startups have spent years working toward a successful IPO, only to see their stock prices peak shortly after listing.

Many people ask:
"Isn't the company still growing?"
"Isn't the industry full of potential?"
"If the company successfully went public, shouldn't its early investors have made substantial returns?"

The reality is:
A successful IPO does not mean that investors in every funding round will make money.

▋ Why Doesn't an IPO Guarantee Investor Returns?
▪︎ A great company isn't always a great investment.
A business may continue growing, but that doesn't mean the original entry valuation was reasonable. The price you pay always affects the return you earn.
▪︎ An IPO is a liquidity event—not a guarantee of profit.
If the company's market capitalization at IPO is lower than the valuation at which investors entered, they can still lose money—even if the company successfully rings the opening bell.
▪︎ Returns depend on more than valuation.
Dilution from future financing rounds, employee stock options, preferred-share conversions, underwriting discounts, lock-up periods, and post-IPO share price fluctuations can all materially affect investment returns.

▪︎ Don't just ask, "Will this company eventually go public?" Ask, "At what valuation could it realistically go public?"
▪︎ Consider whether today's entry price provides an adequate margin of safety.

In private markets, you're not investing in a ticket to an IPO.
You're investing in a company's ability to create value over the next five to ten years.

What actually determines whether a startup goes the distance is whether it can convert buzz into strength, and strength into substance.

▋ The Three-Stage Shift Worth Chasing
▪ Buzz rises fast, fades fast: a post or video can peak in days — and get replaced just as fast.
▪ Strength only comes from time: loyal customers, product differentiation, team capability — these compound, they don't spike.
▪ Substance is the finish line: buzz and strength alone don't mean you've won — without a working business model, bigger scale just means deeper losses.

▋ A Note for Founders
▪ Don't treat buzz as the endpoint: ask how much of it settles into repeat customers, brand trust, team capability.
▪ Don't celebrate strength too early: check whether growth is making cash flow healthier, or more fragile.
