PUBLIC STATEMENT

The Agdao Multipurpose Cooperative informs all members, depositors, employees, stakeholders, and the public that the controversy concerning the legal right to manage and control AMPC remains unresolved and is presently before the Supreme Court.

Even though the Writ of Preliminary Injunction has been lifted, its lifting does not automatically confer authority upon the other group to take over AMPC. The lifting of an injunction is not equivalent to an affirmative order granting them possession, management, or control of the Cooperative.

Accordingly, despite the lifting of the WPI, the legal status quo must continue to be respected unless and until the Supreme Court, or a competent quasi judicial or adjudicatory body acting within its jurisdiction, issues a clear and specific directive expressly authorizing the takeover or turnover of AMPC.

Simply stated, the lifting of the WPI merely removes the injunctive restraint. It is not a takeover order. Neither does it constitute authority for any group to assume management and control of AMPC.

If a group claims a legal right to take over the Cooperative, that authority must appear in a clear, specific, and unmistakable directive from a competent tribunal. It cannot be created through private interpretation, disputed claims, unilateral declarations, or questionable documents.

AMPC has consistently exercised restraint and respect for the judicial process. Such restraint, however, must not be mistaken for weakness or consent to a unilateral takeover.

AMPC will no longer waste its institutional resources engaging in repetitive arguments with persons who deliberately refuse to respect the existing legal status quo. Any person who attempts, through force, intimidation, or self help, to occupy, seize possession of, or interfere with AMPC's offices, properties, records, personnel, branches, or operations shall be held individually accountable for his or her acts.

Where circumstances warrant, AMPC will not hesitate to seek immediate police intervention, file the appropriate criminal complaints, and pursue all remedies available under law against any person who commits an arrestable offense in an attempt to forcibly alter the existing legal status quo.

This is not a threat. It is clear notice that a disputed claim of authority cannot be enforced through force or self help while the underlying legal controversy remains subject to the proper judicial process.

The lifting of the WPI is not authority to take over. Unless and until there is a clear and unmistakable adjudicatory directive expressly authorizing a takeover, the legal status quo must be respected.

OFFICIAL STATEMENT TO ALL AMPC MEMBERS

To All Members of Agdao Multipurpose Cooperative (AMPC):

The incumbent Board of Directors of Agdao Multipurpose Cooperative (AMPC) and Management wishes to inform all members that it continues to recognize and respect the Cooperative Development Authority (CDA) as the government agency mandated by law to regulate, supervise, and promote the development of cooperatives in the Philippines.

The Board has taken due notice of the recent Decision issued by the CDA involving certain former and current officers of the Cooperative. While the matters discussed in the Decision relate to transactions and actions undertaken in 2021 under a previous administration, the present Board believes that responsible governance requires careful consideration of the Authority's findings and their implications for the Cooperative today.

In line with this commitment, the Board reviewed the relevant findings during its meeting on August 24, 2026. Following these discussions, Directors Romeo Fabian and Antonio Dela Cruz submitted their resignations, which were accepted by the Board. Likewise, General Manager Michael John Gestopa voluntarily and willingly relinquished his position to facilitate an orderly management transition and in the best interest of the Cooperative. The Board accepted this manifestation while recognizing that such action does not necessarily constitute agreement with or admission of the findings concerning him.

These decisions were guided by the Board's commitment to accountability, transparency, institutional stability, and sound cooperative governance. More importantly, they reflect our responsibility to protect the interests of the Cooperative and its members while maintaining constructive engagement with the CDA and other relevant institutions.

At the same time, the Cooperative fully recognizes and respects the rights of the individuals concerned to pursue any legal remedies available under the law, including the right to seek review or challenge the Decision through the appropriate legal processes.

The Board assures all members that AMPC remains focused on safeguarding the Cooperative, strengthening its operations, and ensuring continuity of services. We remain committed to working constructively with the CDA and all stakeholders in pursuit of good governance, lawful processes, and the long-term welfare of our members.

PUBLIC STATEMENT TO ALL AMPC MEMBERS


AMPC is issuing this statement to clarify the effect of the recent Decision of CDA Region XI in Case No. ADJ-002-2024-R11 (Cristobal, et al. vs. Albin O. Respuesto, et al.), involving charges for alleged violation of Article 45 of Republic Act No. 9520, grave abuse of authority, and grave misconduct and inefficiency under the CDA Omnibus Rules of Procedure.


Reports have reached AMPC that the former Interim Board of Directors is invoking the July 20, 2026 Decision as supposed authority to again take control of the AMPC Head Office.

The Decision does not give them that authority.

Members deserve to know what the Decision actually says and, just as importantly, what it does NOT say.

THE DECISION DOES NOT ORDER A TAKEOVER OF AMPC
The most important point is also the simplest: THE JULY 20, 2026 DECISION DOES NOT ORDER THE FORMER INTERIM BOD TO TAKE OVER AMPC.

It does not reinstate the former Interim BOD. It does not appoint its members as the present Board of Directors. It does not direct AMPC's present officers or employees to surrender the Head Office. It does not authorize anyone to enter AMPC offices, seize records or property, take control of bank accounts, or assume control of AMPC's operations.

A finding of administrative liability against former officers (the Respuesto-led BOD) is one thing; legal authority to take possession and control of a cooperative is an entirely different matter.

No person or group should therefore represent the July 20, 2026 Decision to AMPC members, employees, banks, government agencies, or law-enforcement authorities as though it were an order transferring control of AMPC to the former Interim BOD.

AMPC members are accordingly urged to be vigilant against any attempt to distort the Decision or use it to solicit support for another so-called “member power” intended to sow chaos or justify a physical or operational takeover of the Cooperative.

CDA ITSELF RECOGNIZES THAT THE PENALTIES UNDER ITS LATER RULES CANNOT SIMPLY BE APPLIED RETROACTIVELY


The Decision also recognizes an important limitation. The acts attributed to the former AMPC directors occurred before the CDA Omnibus Rules of Procedure took effect on December 17, 2022.

CDA itself recognizes that the provisions imposing penalties for grave offenses cannot simply be applied retroactively to acts committed before those Rules took effect.

This is not a new position. CDA had previously acknowledged in proceedings involving AMPC that its Omnibus Rules became effective only on December 17, 2022 and that, because of the punitive consequences involved, their retroactive application would not be appropriate.

Whatever administrative findings the July 20, 2026 Decision may contain, those findings cannot be enlarged into a penalty or consequence that the law does not permit. Much less can they be converted into authority for a former Interim BOD to physically take possession of AMPC.

A finding of liability is not a writ of ex*****on. It is not an order of takeover.


THE DECISION DOES NOT REINSTATE THE FORMER INTERIM BOD


There is another important fact in the Decision itself.

The Decision takes notice of the fact that during the August 18, 2024 Special Representative Assembly, the Representative Assembly purportedly terminated the term of the 2024 Incumbent BOD and declared all positions vacant.


The Decision then states: “Hence, the issue of whether the Respondents shall be removed or not may not be belabored upon in light of this supervening event.”

Whatever the legal consequences of that statement may ultimately be, one thing is plain: The July 20, 2026 Decision does not reinstate the former Interim BOD.

It does not say that its former members are now the incumbent directors of AMPC. It does not give them a new term of office.

And it does not authorize them to take possession of the Head Office.

The former Interim BOD cannot obtain from silence what the dispositive portion of the Decision does not specifically grant.

THE DECISION DOES NOT MEAN THAT CDA HAS BEEN JUDICIALLY DECLARED CORRECT IN THE PENDING SUPREME COURT CASE


Members should also understand that Case No. ADJ-002-2024-R11 and the case now pending before the Supreme Court are not the same case.

The July 20, 2026 administrative Decision concerns charges arising from the Diamond Insurance controversy and the alleged administrative liability of the ALBIN O. RESPUESTO-LED BOARD OF DIRECTORS AND ITS GENERAL MANAGER.

The case pending before the Supreme Court concerns a different question: whether CDA acted lawfully and within its jurisdiction in connection with the 2024 Special Representative Assembly and the actions that followed from it. Among the matters being challenged is CDA's involvement in the August 18, 2024 SRA, where matters beyond the stated purpose of the assembly were taken up, including the purported termination of the Dela Cruz-led Board and the events that led to the creation of the Interim BOD.

The July 20, 2026 Decision does not decide that Supreme Court case.

CDA cannot settle the judicial challenge to its own actions simply by expressing its own position in another administrative proceeding.

CDA is a party before the Supreme Court. It is not the court deciding the case.

THE SUPREME COURT CASE REMAINS A SEPARATE JUDICIAL PROCEEDING


The controversy involving CDA's actions has been elevated to the Supreme Court in G.R. No. E-05369.

The administrative Decision in Case No. ADJ-002-2024-R11 does not, by itself, authorize CDA or the former Interim BOD to declare that Supreme Court proceeding moot or finished.


Whether the pending Petition has become moot, whether CDA acted within its lawful authority, and what legal consequences should follow are matters for the Supreme Court to determine.


Until then, no party should present its own interpretation of the July 20, 2026 Decision as though the Supreme Court had already ruled.

WHAT THIS MEANS FOR AMPC MEMBERS
The situation can therefore be stated simply:

ĂĽ The July 20, 2026 Decision is not an order directing the former Interim BOD to take over AMPC.

ĂĽ It does not reinstate the former Interim BOD.

ĂĽ It does not authorize the seizure of the AMPC Head Office, branches, records, bank accounts, properties, or operations.

ĂĽ It does not decide the case presently pending before the Supreme Court.

ĂĽ And it cannot be given consequences that its own dispositive portion does not provide.

AMPC respects the lawful processes of the Cooperative Development Authority and all other government institutions. The Cooperative will likewise avail itself of the remedies provided by law with respect to administrative decisions with which it disagrees.


But respect for lawful government process works both ways. An administrative Decision must be read for what it actually orders, not for what any interested group wishes it had ordered.

AMPC therefore calls upon all members, officers, employees, and concerned parties to remain calm and vigilant. The July 20, 2026 Decision should not be exaggerated, distorted, or used as a pretext for another unauthorized physical or operational takeover of the Cooperative.

Any change in possession or control of AMPC must proceed through lawful authority and lawful process, not through force, numbers, threats, or destruction of private property.

Please be advised that all AGDAO COOP offices will be closed on May 27, 2026, in observance of Eid'l Adha (Feast of Sacrifice), pursuant to Proclamation No. 1264.

Regular office operations will resume on May 28, 2026 (Thursday).

Due to the extreme rainfall last night, several of our staff members were affected by flooding in their homes and are unable to report for work today. As a result, some of our branches in Davao City are temporarily closed.
