We are pleased to announce that Stratema has acted as an advisor to BlueTec AS in its sale to OBOS 🤝

OBOS, one of the largest property developers and membership organisations in the Nordic region, has entered into an agreement to acquire BlueTec – a leading company specialising in solar energy, charging infrastructure, and energy storage within commercial projects.

This strategic acquisition marks the beginning of a powerful partnership, combining OBOS’s expertise in property development with BlueTec’s cutting-edge energy solutions.

In Q4 2024, we saw 111 transactions, a 25% increase compared to Q4 2023. This positive trend highlights strong activity across the sector.

🔍 Key Highlights:

- Nordic SME software firms traded at ~4.0x EV/Sales, while IT service and consulting SMEs achieved a median 9.5x EV/EBITDA.
- The SaaS sector recorded 57 transactions, with ~1/3 being platform add-ons for PE-backed companies.
- IT services and consulting maintained steady transaction levels, showing growth over the past year.
- Private equity firms remain highly active, accounting for two-thirds of transactions, driven by stable cash flows and substantial dry powder.

We are pleased to announce that Stratema has assisted Corteco in its acquisition of Pussmester AS, further strengthening Corteco’s position in Norway within sustainable renovation and maintenance of building exteriors.

This marks the third acquisition where Stratema has advised Corteco, following earlier acquisitions of Viking Entreprenør and A. Hansen Gruppen. Together, these companies will collaborate to deliver Norway’s premier customer experience in sustainable property renovation, with a strong focus on exterior façades.

Xpert Installasjon AS Joins the Currentum Group 🤝

We are pleased to share that Stratema had the privilege of advising Xpert Installasjon, along with its subsidiaries Ditmar Enge AS and iTel AS, on its successful sale to the Nordic installation group Currentum.

Our primary goal throughout this process was to secure the right future partner for Xpert Installasjon—one that could unlock synergies and generate value for shareholders. Currentum's existing acquisitions in ventilation and plumbing align perfectly with Xpert Installasjon’s expertise in electrical installations, creating a comprehensive, cross-disciplinary service for the market.

We are thrilled to announce that Braathe has officially been acquired by iteam, forming the largest and most comprehensive Norwegian IT operations company!

This transformative partnership brings together two of Norway's leading IT providers, creating a unified national player ready to deliver even greater value to customers and employees alike.

Since 2016, Stratema has proudly partnered with the Braathe family, supporting the company’s growth from a mid-sized business to one of the nation’s foremost IT service providers for small and medium-sized businesses (SMBs). With six strategic acquisitions and a transition to subscription-based services, Braathe has seen its revenue quadruple to 500 MNOK.

With iteam as its new partner, Braathe will now expand its reach and service offerings, positioning the combined company to serve over 10,000 customers and generate 1.7 billion NOK in revenue in 2024. Together, they will continue to set the standard for secure, innovative IT solutions across Norway.

Stratema's quarterly report provides an up-to-date analysis of the Nordic tech M&A landscape, highlighting key developments for small-cap and mid-cap companies.

🔍 Key findings from Q3 2024:
- 103 transactions recorded, reflecting an increase from Q2 and previous quarters.
- Public software companies traded at an average of 3.7x EV/Sales, while IT consulting SMEs saw a median of 9.5x EV/EBITDA.
- The SaaS sector recorded 55 deals, and IT services and consulting transactions surged over the past four quarters.

🌍 Foreign buyers were highly active, with 38% of software transactions driven by non-Nordic based buyers, seizing opportunities with favourable exchange rates and pricing advantages in the Nordic market.

John is currently in his final year at Stockholm University, pursuing a Master of Science in Finance. He brings a strong academic foundation from Umeå School of Business Economics and Statistics, where he specialised in advanced financial statements, valuations, and corporate finance.

Egerheim brings with him valuable experience from KPMG, AdviceX AB, and the Financial Management team at HHUS. His eye for detail, sociable nature, and great team spirit make him a fantastic fit for our Stockholm office.

The report uncovers key insights and trends shaping the tech M&A landscape across the Nordic region.

🔍 Highlights of Q2 2024:

▪ Transaction Volume: The Nordic tech sector saw 80 transactions, a slight decrease from the previous three quarters, with a notable focus on SaaS (Software-as-a-Service) companies.

▪ Valuation Metrics: Publicly listed software companies are trading at around 4.0x EV/Sales, while public IT consulting SMEs have reached a median of 9.7x EV/EBITDA.

▪ SaaS Dominance: Although there was a minor decrease in SaaS transactions from Q1, the total remains consistent with historical averages. IT services and consulting have shown steady transaction volumes, aligning with pre-COVID levels.
