Wiley結合監管機構的公開真實案例，剖析常見的估值陷阱，包括收購交易中過度樂觀的收入預測、選擇性採用數據及操控折現率。此外，他亦深入淺出地講解《香港會計準則》第 36 號「資產減值」的測試要點，清楚解答了關於現金產生單位及賬面值錯配等常見疑問。

Regulators have focused on multiple compliance areas regarding corporate valuation, with acquisition consideration determination and asset impairment emerging as the main concerns for listed companies.

Our Advisory Partner, Mr. Wiley Pun, was invited by ListcoPRO yesterday to deliver a seminar and share on valuation challenges concerned by regulators. The seminar gathered around 40 listed company C-suites and industry elites to decode the latest compliance expectations.

Drawing on real case studies disclosed by regulators, Wiley highlighted common valuation pitfalls, including overly optimistic revenue forecasts in acquisitions, the selective use of data, and the manipulation of discount rates. He also demystified HKAS 36 asset impairment testing, covering Cash-Generating Units (CGUs) and common mismatches between carrying amounts and value-in-use.

Grant Thornton Hong Kong’s valuation team provided independent intellectual property (IP) valuation services for pilot cases under Hong Kong’s Intellectual Property Financing Sandbox, covering all three participating pilot banks and supporting financing applications for more than half of the seven pilot cases.

Announced by the Hong Kong Monetary Authority (HKMA) on 30 September 2026, the Sandbox enables technology and creative companies to secure bank loans backed by intangible assets such as patents and trademarks.

The seven approved cases span electronics, construction, toy manufacturing and medical devices, with loan amounts ranging from HK$1 million to HK$39 million. Independent, impartial IP valuation is key to bridging the financing gap for asset-light businesses that lack conventional collateral.

Our Advisory Partner, Mr. Wiley Pun, led the team to deliver rigorous IP valuation services for these projects, assessing the commercial potential, economic life and risks of the IP assets, reviewing business forecasts and applying appropriate valuation methodologies to produce formal valuation reports. Grant Thornton Hong Kong will continue to deploy our IP valuation expertise, helping innovative businesses unlock the economic value of their intangible assets and support the development of Hong Kong’s IP financing ecosystem.

致同香港諮詢團隊於 9 月 29 日舉辦了網上媒體簡報會，連續第 15 年發佈其年度《企業管治調查報告》之調查結果。

我們的諮詢主管合夥人湯飈先生及諮詢總監蘇韋安先生在會上揭示了香港大型上市公司的董事會在人工智能(AI)及網絡安全監督方面存在明顯的能力缺口。他們指出在恒生綜合指數大型股公司中，具備資訊科技、人工智能或網絡安全專業背景的董事不足 1%，且專門科技委員會的設立率僅得 11%。

此外，報告亦指出企業正加快董事會的更新步伐，獨立非執行董事的平均任期已由 6.8 年下降至 5.8 年以應對新規，惟女性董事比例的增長依然相對緩慢。

Grant Thornton Hong Kong’s Advisory team hosted an online media briefing on 29 September, releasing the findings of our annual “Corporate Governance Review” for the 15th consecutive year.

At the briefing, our Partner and Head of Advisory, Mr. Barry TongTong Piu, and Advisory Director, Mr. Ivan So, revealed a sharp capability gap in artificial intelligence (AI) and cybersecurity oversight among Hong Kong’s large-cap listed companies, noting that less than 1% of directors at large-cap Hang Seng Composite Index (HSCI) companies possess dedicated IT, AI, or cybersecurity professional backgrounds, while the prevalence of specialised technology committees stands at just 11%.

Furthermore, the report highlights that companies are accelerating their board refreshment, with the average tenure of Independent Non-Executive Directors (INEDs) decreasing from 6.8 years to 5.8 years in response to the new regulations, though the growth in female director representation remains relatively slow.

羅博特科本次全球發行1,187.6萬股，發行價為每股436.0港元，募集資金約51.78億港元。自2025年起，致同持續為羅博特科提供A股審計服務；同年，致同擔任申報會計師，全力護航其H股上市進程。

On 29 September 2026, Grant Thornton successfully assisted RoboTechnik (stock code: 3757.HK; 300757.SZ) in debuting on the Main Board of the Hong Kong Stock Exchange (HKEX), establishing an "A+H" dual-capital platform.

RoboTechnik issued 11.876 million shares at an offer price of HK$436.0 per share, raising approximately HK$5.178 billion. Since 2025, Grant Thornton China has been providing A-share audit services for RoboTechnik. In the same year, Grant Thornton China was appointed as the reporting accountant to provide comprehensive support for its H-share listing.

Grant Thornton Hong Kong collaborated with the Hangzhou office and the Hong Kong advisory team to achieve highly efficient cross-departmental and cross-office coordination. The Hong Kong audit team led and completed the reporting accountants' work with the support of the Hangzhou office, while the Hong Kong advisory team issued the internal control report. The team had to align the financial statements of three reporting bases in a short period of time, each under different accounting standards. The audit and internal control work had to be run in parallel. Through effective collaboration, the team successfully kept the demanding schedule on track.

This Mid-Autumn Festival, we were delighted to partner with Feeding Hong Kong and Gingko House, to spread festive warmth and joy. Through this initiative, our colleagues took concrete actions to support the elderly workers at Gingko House by purchasing their social enterprise mooncakes, while also donating food items and surplus mooncakes through Feeding Hong Kong.

Four cartons of mooncakes and food items were collected just on time for delivery to the individuals and families in need, allowing them to cherish moments with their loved ones and share the warmth and festive spirit of this traditional celebration. A heartfelt thank you to every fellow GTer for their generous support, as we continue to drive positive impact in our community.
