For companies considering a Small Business Restructure, having a proposal on the table is only part of the equation. The ATO considers the company's compliance history, director drawings and loans, future cash flow, affordability of the proposal and how the return compares with liquidation. Getting these fundamentals right before an appointment can make a meaningful difference.

In his latest article, Jason Cronan (Director | Sunshine Coast) shares the key factors the ATO considers and what advisers can do to help clients prepare early.

DPNs on the Rise Again: Why Early Action Matters for Directors and Advisers

The letters arriving on directors’ desks are becoming harder to ignore. We're seeing an increase in Director Penalty Notices (DPNs) and garnishee notices as the ATO continues to strengthen its debt recovery and enforcement activity.

For directors, the message is simple:
💠 Lodge on time
💠 Engage early when financial pressures emerge
💠 Address tax debts before they become enforcement matters

For accountants, lawyers and other trusted advisers, it is becoming increasingly important to identify when a client may benefit from specialist restructuring or insolvency advice. In many cases, options that were available months earlier can become limited once formal recovery action commences.

Often, the greatest risk isn't the tax debt itself. It's allowing time and inaction to quietly remove potential solutions.

Early advice preserves options. Delay allows someone else to make the decisions.

Members' Voluntary Liquidations (MVLs) can be an effective solution for solvent companies that have reached the end of their lifecycle.

Whether it's simplifying a corporate group structure, facilitating succession planning, winding up a company that has served its purpose, or providing a tax-effective pathway to distribute company assets, an MVL offers shareholders a formal and structured way to bring a company to a close.

Early planning is key. An MVL can involve a range of legal, accounting, and tax considerations, and obtaining advice upfront can help ensure the best outcome for shareholders.

At SV Partners, we work closely with business owners, accountants, and advisers to navigate the MVL process with certainty around timing, costs, and outcomes.

If you or your clients are considering winding up a solvent company, our team is available to discuss the available options.
