Starting October 1, every 7(a) acquisition gets sorted into one of four types: first-time buyer, an operating company buying a competitor, an internal ownership shuffle, or an employee ownership deal. Which one you are sets your cash flow requirement and how much money you have to bring.

First-time acquisitions are the baseline. The other three categories offer more flexibility on cash flow and down payment, and qualifying for one is a matter of documenting that your deal fits.

Two bigger shifts: any acquisition at or above $3 million now needs an independent examination of the seller's earnings, not just a valuation. And the streamlined small loan program can no longer be used for acquisitions at all.
