Reminder to all business owners, reporting companies that were created or registered prior to January 1, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN. (These companies would otherwise have been required to report by January 1, 2025.)

Background
In 2021, Congress enacted the bipartisan Corporate Transparency Act to
curb illicit finance. This law requires many companies doing business
in the United States to report information about who ultimately owns
or controls them.

The United States Government has enacted a new filing requirement under the Financial Crimes Enforcement Network (FINCEN) for most Single-Member LLC’s, Multi-Member LLC’s, and various types of Partnerships (operating as a Partnership for Federal Tax Purposes), as well as, S-Corporations (both traditional stock entities and elected LLC’s), Corporations and some Trusts. There are also 23 classes of organizations that are exempt from filing this report for various reasons.

The filing requirement is called a Beneficial Ownership Information Report (BOIR) and its part of the Corporate Transparency Act (CTA).

The BSA E-Filing System supports electronic filing of Bank Secrecy Act (BSA) forms (either individually or in batches) through a FinCEN secure network.
