Renting premises for running a business is always a big expense for an entrepreneur and a considerable organizational challenge. It is worth knowing what legal issues should be considered when concluding a lease agreement for business premises to minimize legal and business risks.

The current situation with the pandemic has clearly shown that, especially in the case of lease agreements for premises for business purposes, it is worth taking care of protecting the interests of the landlord in the event of an emergency, unpredictable event.

The lease must contain a so-called force majeure clause. An external, extraordinary event is defined as one that cannot be prevented and for which the given party is not responsible.
It is also worth making sure that the lease clearly states that the premises are being leased for business purposes, and the landlord does not make any claims on this matter.

This may be relevant, in particular, to register a business at the address of the leased premises.

It is worth in advance in the contract to ensure the settlement of issues of adaptation of the premises, the consent of the landlord to carry it out, the costs of its ex*****on, and the possible reimbursement of these costs in the event of early termination of the lease.

Страхування OC, як правило, є добровільним, але іноді закони накладають обов'язок укладати такий договір.

Типовим прикладом обов'язкового ОС є страхування водіїв автомобілів. В обов'язковому порядку повинні його мати і фермери, які ведуть господарство.

Закони, навпаки, не передбачають жодних загальних зобов'язань щодо страхування OC підприємцями. Тим не менш, наявність у них такої страховки може бути дуже корисною у зв'язку з тим, що вона знижує ризик ведення бізнесу.

Добровільне страхування OC бізнесу – це страхування, яке захистить ваш бізнес у разі отримання претензій третіх осіб. Any adult foreigner can open a limited liability company in Poland. It is enough to have a valid passport, start-up capital of PLN 5,000 and the necessary documents.

A company in Poland can be registered as a branch / representative office of foreign companies, joint stock, limited or limited joint stock company. However, more often than not, limited liability companies (Spółka z ograniczoną odpowiedzialnością - in abbreviated form Sp. Z O.O.) are founded. This is because the losses of such a case are compensated exclusively by the authorized capital.

What does a foreigner need to start a business in Poland?

First of all, you need to be of legal age and have a passport, which must be valid for at least 18 months after opening the company. A legal entity or an individual can establish an LLC in Poland, regardless of citizenship and place of residence or permanent residence.

It is also necessary to have an authorized capital of PLN 5,000 in cash or material assets. These funds do not have to be deposited into the firm's bank account upon registration.
When there are several owners, then each of them must submit their contribution to the authorized capital. Its size will be proportional to the share of ownership in the business. In this case, the contribution of one person must be at least 50 zlotys.

It is desirable that several foreigners open one business. If there is only one owner, then the company is considered to be at increased risk and he must pay additional tax.
