Updated Companies (Further Issue of Shares) Regulations, 2020, incorporating recent amendments, have been placed on the SECP website.
The consolidated Companies (Further Issue of Shares) Regulations, 2020, incorporating the amendments introduced by the SECP vide S.R.O. 2458(I)/2025 dated December 16, 2025 and S.R.O. 64(I)/2026 dated January 13, 2026, are available on the SECP website. The amendments included in the updated Regulations mainly pertain to the following:
• Parameters for listed companies issuing shares having varied rights and privileges
• Issuance of right shares despite CIB overdues (subject to NOC), alongside enhanced disclosure requirements to strengthen investor transparency
