Affected sectors include:

Doctors,

event managers,
AC beauty parlors,
diagnostic labs (X-ray, CT, MRI),
AC transport (5+ vehicles),
private schools (fee > Rs 1,000),
AC restaurants,
hotels,
marriage halls,
gyms,
courier services,
exchange companies,
and chartered accountants.

Key changes:

β€’ Medical threshold reduced from Rs 1,500 to Rs 500 (67% lower)
β€’ Event threshold reduced from Rs 100,000 to Rs 50,000 (50% lower)
β€’ Transport threshold reduced from 10 to 5 vehicles (50% lower)
β€’ Beauty parlors and diagnostic labs are now explicitly covered

Penalties for non-compliance:

β€’ Up to Rs 1,000,000 for non-installation
β€’ Rs 200,000 + Rs 10,000 per day for non-integration
β€’ Bank account attachment under Section 140 (no court order required)
β€’ Imprisonment up to 5 years for wilful evasion

Reply within 7-15 days.
Verify whether your business actually meets the threshold.

30th April 2026, the last date for submission of the UBO Declaration, if not submitted, hefty penalty awaiting

SUBJECT: ATTENTION ALL COMPANIES- FILING OF FORM-19 WITH SECP REGARDING ULTIMATE BENEFICIAL OWNERSHIP (UBO) INFORMATION



Every company is required to file a declaration of compliance regarding Ultimate Beneficial Ownership (UBO) on prescribed Form 19 under Section 123A of the Companies Act, 2017 read with Regulation 48 of the Companies Regulations, 2024.

This form must be submitted along with the annual return each year through eZfile portal of SECP.

Non-submission of Form-19 may attract penal provisions under sub-section (3) of Section 123A of the Act, which state:
"(a) a director or officer of the company or any other person shall be liable to a penalty which may extend to one million rupees; and
(b) the company shall be liable to a penalty which may extend to ten million rupees."

In light of the above, you are, therefore, advised to immediately file overdue Form 19 with the SECP through eZfile.

In case you have already filed Form-19, please disregard this communication.
