It decides who gets paid first when a company is sold, merged, or shut down.

“Startup bikne par founder ko paisa nahi milta pehle 😳” 👉 (Liquidation Preference) Liquidation Preference ka matlab —company biki ya liquidate hui, toh pehle investor ko paisa milta hai. Sirfbaaki bachta hai who baki shareholders mein baanta hai. Is clause ke hisaab se: 👉 Investor ko ya toh apna investment wapas milega ya apna % share ka paisa 👉 Jo bhi zyada ho — wahi milega Aur uske baad hi founder ko kuch milta hai. 💰 Scenario (Liquidation Preference – Participating) 📊 Given: Company sale: ₹500 crore Investor investment: ₹100 crore Investor equity: 25% 🔥 Calculation (Step-by-step) ✅ Step 1: Investor gets investment back 👉 Investor ko pehle milega: ₹100 crore (original investment) ✅ Step 2: Remaining amount 👉 Remaining amount: ₹500 – ₹100 = ₹400 crore ✅ Step 3: Investor gets share on remaining 👉 25% of ₹400 crore = ₹100 crore
