Merger vs Amalgamation – Are They the Same?

“Merger aur Amalgamation ko hum same samajhte hain… but technically, kya dono same hain?”

Merger ka simple meaning hai — ek company ka doosri existing company ke saath combine hona, where one company generally continues to exist.
Example:
Company A Ltd. + Company B Ltd.
➡️ A Ltd. continues
➡️ B Ltd. merges into A Ltd.
This is commonly understood as a merger.

Amalgamation mein generally two or more companies combine to form a new company.
Example:
A Ltd. + B Ltd.
➡️ A Ltd. closes
➡️ B Ltd. closes
➡️ C Ltd. is formed as a new company

🔑 Easy Way to Remember
Merger:
👉 One company survives + another combines into it.
Amalgamation:
👉 Existing companies combine + a new company is formed.

“So next time someone says merger and amalgamation are exactly the same, remember — conceptually there can be a difference, but legally the terminology can overlap under Section 232 of the Companies Act, 2013.

NEET Paper Leak – Our Personal Opinion

In our opinion, once the NEET paper leak allegations came to light, there were only two possible courses of action:

1️⃣ Cancel the examination and conduct it again to ensure a level playing field for every deserving student and preserve the credibility of the examination system.

2️⃣ Ignore or suppress the issue and continue with the existing results. In our view, this could have affected the future of honest students and weakened public confidence in the fairness of the examination.

The Government chose the first option. While it caused stress, uncertainty, and inconvenience for many genuine aspirants, it was aimed at protecting the integrity of the examination process.

Whether this was the right decision or whether there could have been a better alternative is for every citizen to decide.

This is entirely our personal opinion. We respect that others may have a different perspective, and we welcome healthy, respectful discussion. This post is not intended to defame any individual, institution, or authority. Any findings regarding the alleged NEET paper leak remain subject to the conclusions of the competent courts and investigating agencies.
