The has issued Corporate Tax Public Clarification CTP010, providing important guidance on the interpretation of “Directors” and “Officers” under Article 36 of the UAE Corporate Tax Law.

The clarification brings greater direction on how businesses should assess Connected Persons, particularly in relation to governance structures, strategic decision-making authority, contractual signing powers, and Key Managerial Personnel disclosures.

Given the potential compliance and reporting implications, businesses should carefully review their constitutional documents, delegation frameworks, and existing classification approach under the UAE Corporate Tax regime.

In the first episode of our Tax Simplified series on Transfer Pricing, Lynn Nazareth, Manager – Transfer Pricing at MMJS Consulting, explains how Connected Persons should be assessed under the UAE Corporate Tax Law, especially Directors and Officers, in light of the recent Federal Tax Authority’s Public Clarification CTP010.

Identifying a Connected Person is not always as straightforward as it may seem. A formal title alone does not determine whether an individual qualifies as a Director or Officer. With the Federal Tax Authority’s Public Clarification CTP010, businesses now have greater clarity on how these roles should be assessed through both form and substance.

In this episode, Lynn also highlights why businesses should revisit their governance structures, signing authority frameworks, constitutional documents, and KMP disclosures.
